On board audio-OK Onboard video, you may want to consider adding a video card, especially if you are only running 256mb RAM. I would run at least 512mb RAM, 1 gb if you can afford it (2x512mb is fine) and look for a nice NVidia 6000 series AGP card. Other than that, all of your components will work together, you have more than sufficient power @ 480w PS, and, dependinig on what you are planning on using the system for, you should be happy with it.
A couple of notes of caution, however-
Your board has only two memory slots. If you want to add memory later, you could find yourself having to ditch whatever memory you are buying now to replace it with bigger DIMMs. For instance, if you go 2x256 now, and you want 1 gb later, you will have no choice but to throw BOTH those sticks away and buy either 2x512 or 1x1024. If you have 4 memory slots, you could just add 1x512 to your 2x256, or 2x256 + 2x256. (Trust me-expensive personal experience). The other thing is, if you want to game at all, invest in the video card-it will be the most bang for your buck after RAM.
